These Terms of Service (“Terms”) are a legal agreement between you and KADO HQ LLC, a Michigan limited liability company (“Kado,” “we,” “us,” or “our”), and govern your access to and use of our products — Kado Bot (the Discord application and public leaderboard) and Kado HQ (the agency platform) — together with our websites (together, the “Service”). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are agreeing on behalf of an agency or other organization, you represent that you have authority to bind it.
Kado is sales-production software for insurance agencies. Kado Botprovides a Discord application and a branded public leaderboard that record deals, display rankings, track goals, run competitions, and post recaps. Kado HQ adds the agency platform — client and policy records, a dialer, quoting, commission and chargeback tracking, recruiting, compliance records, and messaging tools. We may add, change, or remove features over time.
You must be at least 18 years old and able to form a binding contract to use the Service. You access the Service by logging in with Discord; you are responsible for your Discord account, for all activity under your account, and for the conduct of the agents and administrators you add to your agency. Keep your credentials secure and notify us promptly of any unauthorized use.
You retain ownership of the information you and your agents submit (such as agency name, deal and production data, goals, and brand assets like your logo and colors) (“Your Content”). You grant us a worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate and provide the Service to you and your agency. You are responsible for the accuracy of Your Content and for ensuring you have the rights to upload any brand assets you provide.

The Service, including its software, design, and the Kado, Kado Bot and Kado HQ names and marks, is owned by us and our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in the Service except the limited right to use it per these Terms. Your agency’s own name, logo, and brand assets remain yours.
You may stop using the Service at any time by cancelling your subscription. We may suspend or terminate your access if you breach these Terms, fail to pay, or if your use poses a risk to the Service or others. On termination, your right to use the Service ends; we may delete or retain Your Content as described in our Privacy Policy and as permitted by law.
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service is a productivity and tracking tool and does not provide insurance, financial, legal, or tax advice. You are responsible for your own compliance with the laws and regulations that apply to your agency.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars ($100).
You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms.
The Service relies on third parties including Discord, Stripe, Supabase, Vercel, and Railway. Your use of those services is subject to their own terms and policies, and we are not responsible for them.
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law rules. The state and federal courts located in Michigan will have exclusive jurisdiction over any dispute, and you consent to their jurisdiction and venue.
